Clear terms for a better custom-order process.

These Terms of Service ("Terms") govern your use of LetsShape, including our websites, platform, shaper accounts, customer-facing builders, and related services. By accessing or using LetsShape, you agree to these Terms. If you use LetsShape for a business, you represent that you have authority to accept these Terms for that business.

LetsShape is a software platform operated by DeepDive Creations. It helps shapers display surfboard models, configurations, dimensions, options, pricing information, and order details; receive custom-board requests; communicate production or status information; and provide customer order tracking.

LetsShape does not manufacture, shape, fulfill, or independently approve surfboard orders. LetsShape is not the seller of a shaper's surfboards and does not currently process or hold payments between shapers and their customers.

Shaper and business accounts are intended for individuals 18 years of age or older. LetsShape does not currently perform age verification. You are responsible for providing accurate account information, maintaining the security of your authentication credentials, and activities occurring through your authorized account.

Please notify LetsShape promptly if you suspect unauthorized access to your account. Customers may use a shaper's public builder without creating a LetsShape account.

The shaper and customer establish the commercial relationship concerning a surfboard. LetsShape provides the software and organization layer supporting that interaction. The relevant shaper is responsible for reviewing requests, communicating with the customer, deciding whether to accept an order, manufacturing and fulfilling the board, and managing the direct customer relationship.

Submitting a configuration through LetsShape is a custom-board request or order submission to the relevant shaper. It is not an acceptance of the request by LetsShape. LetsShape does not guarantee that a shaper will accept a request, manufacture a board, be able to produce every requested option, manufacture a board exactly as configured, or meet a quoted timeline.

The relevant shaper determines acceptance, final specifications, production, delivery, and fulfillment.

LetsShape may provide visual previews, 3D representations, images, diagrams, dimensions, artwork placement, and configuration interfaces to help communicate a custom-board configuration. These tools are not guaranteed to be exact manufacturing specifications or exact representations of the finished physical board.

Physical surfboards are custom-manufactured products and may involve reasonable differences in color, finish, artwork placement, dimensions, volume, shape, materials, construction, and other physical characteristics. Final specifications should be confirmed between the shaper and customer.

LetsShape does not currently collect, process, hold, distribute, refund, dispute, or charge back payments between shapers and their customers. LetsShape may display or store board price, deposit amount, accepted payment methods, payment instructions, and payment status as organizational or informational records.

Actual payment arrangements are directly between the shaper and customer. The shaper is responsible for collecting board payments, deposits, balances, refunds, payment disputes, chargebacks where applicable, and communicating payment terms. Displaying payment information in LetsShape does not make LetsShape a party to a surfboard payment transaction.

LetsShape may charge shapers for subscriptions, setup services, configuration or onboarding services, additional services, or other agreed services. The current application does not include an integrated subscription billing system. Specific payment arrangements for LetsShape services are handled under the applicable service arrangement.

LetsShape may change subscription or service pricing prospectively according to the applicable service arrangement and any notice required by law. A pricing change will not retroactively change amounts already paid or owed under an agreed fixed period.

A shaper may request cancellation of a LetsShape subscription at any time by emailing DeepDiveCreationsfl@gmail.com. "Subscription Cancellation Request" is a helpful subject line, but a clear cancellation request will be accepted without it. Cancellation stops future service according to the applicable subscription or service arrangement and does not eliminate amounts already owed to LetsShape. Additional cancellation methods may be made available as LetsShape's billing systems evolve.

LetsShape service fees are generally non-refundable once paid, except as expressly stated in these Terms, required by law, or agreed otherwise by DeepDive Creations. Paid month-to-month subscription fees are generally non-refundable. Setup fees and completed service fees are generally non-refundable once associated work has begun or been performed, subject to applicable law and any specific agreement.

If a shaper prepays an entire year of subscription service and cancels before that prepaid year ends, the unused future portion will be refunded, less an amount equal to two months of the applicable subscription fee, subject to applicable law. Services or months already provided are not refundable. The refund will not be less than zero and does not include separate setup fees, completed work, custom services, or outstanding balances.

Shapers are responsible for the information and offerings they make available through their builders and for keeping that information reasonably accurate and current. This includes, where applicable:

• Board models, dimensions, constructions, tails, fin configurations, artwork, colors, and options
• Pricing, option upcharges, deposit requirements, payment methods, and payment instructions
• Production timelines, availability, customer communications, and order acceptance
• Manufacturing, fulfillment, surfboard-purchase refunds, and warranties or promises made to customers

Shapers are responsible for reviewing submitted custom-board information before manufacturing and verifying specifications with a customer when appropriate.

Customers are responsible for reviewing the information they submit and for providing accurate contact information, dimensions, configuration selections, artwork selections, notes, and other requested information. Customers should review final specifications with their shaper when appropriate.

LetsShape is not responsible for errors caused by inaccurate customer information, mistaken customer selections, inaccurate information configured by a shaper, shaper changes to specifications, misunderstandings between a shaper and customer, manufacturing variations, manufacturing errors, fulfillment issues, or other acts or omissions of the shaper.

Shapers may upload supported content such as logos, artwork, board imagery, 3D model assets, and brand materials. A shaper retains ownership of content they own. LetsShape does not take ownership of a shaper's brand, logo, artwork, surfboard design, or other intellectual property merely because it is uploaded.

By uploading content, the shaper grants DeepDive Creations a non-exclusive, limited license to host, store, reproduce, display, resize, format, transmit, and technically process that content as reasonably necessary to operate, maintain, support, and provide LetsShape.

Shapers represent that they have the necessary rights or permissions to upload and use their content, including logos, artwork, photographs, 3D models, trademarks, and other brand assets. Shapers may not upload content that infringes another person's intellectual-property or other legal rights. LetsShape may remove or restrict content when reasonably necessary to address infringement, unlawful content, platform security, or a Terms violation.

LetsShape intellectual property

The LetsShape platform, including its software, interface, site design, branding, platform features, original platform content, and underlying technology, is owned by or licensed to DeepDive Creations as applicable. Using LetsShape does not transfer ownership of the platform to users.

A shaper grants DeepDive Creations permission to use the shaper's business or brand name, logo, publicly displayed builder, publicly displayed board models, screenshots of the shaper's LetsShape builder, publicly displayed product imagery, and publicly displayed configuration examples for legitimate LetsShape promotional purposes.

These purposes may include the LetsShape website, social media, product demonstrations, portfolio or case-study examples, sales presentations, and advertising for LetsShape. This permission does not transfer ownership of the shaper's intellectual property, permit LetsShape to sell the shaper's artwork or designs as standalone products, or imply endorsement beyond the shaper's use of LetsShape.

A shaper may request that LetsShape stop future promotional use by emailing DeepDiveCreationsfl@gmail.com. An opt-out does not require LetsShape to recall or destroy promotional materials lawfully produced or distributed before the request.

You may not misuse LetsShape. This includes using it to:

• Break the law, commit fraud, impersonate another person, or infringe another person's rights
• Introduce malicious code, interfere with platform operation, or attempt unauthorized access
• Bypass security or access controls, or distribute unlawful or harmful content
• Scrape or automatically extract information in a way that materially burdens or abuses the service

LetsShape is an evolving software service. We may update, improve, modify, add, remove, or discontinue features from time to time. We do not promise uninterrupted or error-free operation, and access may be temporarily suspended for maintenance, security, technical problems, legal requirements, misuse, or other reasonable operational reasons.

LetsShape may suspend or terminate access where reasonably necessary because of a material Terms violation, unlawful activity, security threat, fraud or abuse, nonpayment of amounts owed to LetsShape, infringement, or conduct that materially harms the platform or other users.

Where reasonable, LetsShape may provide notice and an opportunity to resolve an issue. Serious security, fraud, legal, or abuse situations may justify immediate action. Cancellation or termination does not eliminate outstanding amounts already owed to LetsShape.

LetsShape relies on third-party providers for portions of the service, including authentication, database and storage, infrastructure, and transactional email. Those providers may have their own terms and privacy policies, and their availability is outside LetsShape's direct control.

Your use of LetsShape is also subject to the LetsShape Privacy Policy, which explains how LetsShape handles information.

To the extent permitted by law, LetsShape is provided on an "as available" basis. LetsShape does not guarantee uninterrupted or error-free operation, perfect data accuracy, exact manufacturing results, fulfillment of every order by a shaper, completion of every purchase by a customer, specific business results, increased sales or revenue, or continued availability of every feature.

Nothing in these Terms excludes or limits responsibility that cannot legally be excluded or limited.

To the extent permitted by law, DeepDive Creations and LetsShape will not be liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits, lost revenue, lost business opportunities, loss of goodwill, or similar losses arising from or related to LetsShape.

To the extent permitted by law, our total aggregate liability for claims arising from or related to LetsShape will not exceed the greater of the amounts paid to LetsShape by the affected user during the 12 months preceding the event giving rise to the claim or $100. These limitations include, without limitation, losses connected to shaper-customer disputes, manufacturing mistakes, inaccurate shaper configuration, customer selection errors, third-party services, or service interruptions.

The limitations in this Section apply only to the extent permitted by applicable law and do not limit liability that cannot legally be limited or excluded.

To the extent permitted by law, a shaper agrees to defend, indemnify, and hold harmless DeepDive Creations and LetsShape from third-party claims, losses, liabilities, and reasonable expenses arising from the shaper's surfboards, manufacturing, fulfillment, customer promises, pricing, refunds, shaper-provided content or infringement caused by that content, misuse of LetsShape, violation of law, or material violation of these Terms.

These Terms are governed by the laws of the State of Florida, without regard to conflict-of-laws principles, except where applicable law requires otherwise. Before filing a formal claim, you and LetsShape agree to make a good-faith effort to resolve the dispute informally where practicable. To begin that process, contact DeepDiveCreationsfl@gmail.com.

LetsShape may update these Terms as the service evolves. The updated Terms will display a revised Last updated date. Material changes may be communicated through the service or another reasonable method where appropriate. Continued use after updated Terms become effective may constitute acceptance where permitted by law. Changes will not retroactively alter completed transactions merely by being posted on the website.

Severability

If a provision of these Terms is unenforceable, the remaining provisions will continue in effect to the extent legally possible.

No waiver

Failure to enforce a provision immediately does not waive the right to enforce it later.

Entire agreement

These Terms, the Privacy Policy, and any applicable written service or order agreement between the shaper and LetsShape form the agreement relating to use of LetsShape. If a separately signed or written agreement expressly conflicts with these Terms, that separately agreed term controls for that conflict.

Assignment

Users may not transfer their LetsShape account or agreement without LetsShape's permission. LetsShape may assign these Terms in connection with a merger, acquisition, restructuring, or sale of the business or its assets, subject to applicable law.

Feedback

If you voluntarily provide suggestions, feature ideas, feedback, or improvement ideas, LetsShape may use that feedback to improve or develop the service without an obligation to compensate you.
